This Application/Employment Agreement is made and entered by and between Price Mine Service, Inc. of 97 East 100 North, Price, Utah 84501 (“Employer”) and

(“Employee”) Whenever both Employer and Employee are referenced to in this Agreement, they may be designated as the “Parties”. It is further understood by both parties that should employee accept employment under this Agreement as evidenced by his services at a mine site designated by employer, no further writing or evidence of acceptance of this Agreement as an Employment Agreement need be given and this Agreement shall immediately and automatically be fully executory as an Employment Agreement Between the Parties.

I understand that upon my hire I will be paid the standard hourly rate and

Initial benefits previously described to me and accepted by my signature below and

I will be assigned by Price Mine Service as an employee to a designated mine.

Applicant/employee agrees, if hired, to be subject to all standard and customary

work standards, hours, rules and other terms and conditions of employment as

may legally be imposed or required by the mine operator and/or owner.

______ I understand that if I am hired, the length of my employment is not guaranteed.

Initial I may resign at any time, with or without cause.

I also understand that the company has the right to terminate my services at any

I authorize Castle Valley Services, Inc. /Price Mine Service, Inc. to perform a

Initial drug and alcohol screen before employment and / or anytime thereafter.

______ I understand that all accidents/injuries must be reported immediately to your

Initial supervisor, and before leaving the mine. Also accidents/injuries must be reported to

Price Mine Service, Inc. within 24 hours. Failure to follow this procedure may

result in your immediate termination.

Price Mine Service, Inc. is not responsible for any of your safety equipment; any

Initial item checked out of the warehouse would be payroll deducted.

“ AT WILL” EMPLOYMENT AGREEMENT

______ The undersigned employee acknowledges that Price Mine Service incurs curtain

Initial cost in employee’s training and the processing of his employment. Accordingly, the

undersigned agrees not to work for any other employer and/or employment agency

at any mine site to where he is assigned by Price Mine Service for 12 months.

This prohibition shall not apply if the employee is directly hired by the mine owner or

operator. The undersigned further agrees that any violation of this provision will

subject him to stipulated and agreed liquidated damagers to Price Mine Service

of $500 per offense and injunctive relief if sought by Price Mine Service as well

as all costs and legal fees if any legal action is brought to enforce this provision.

______ I further understand that this represents the complete agreement between the company

Initial and me regarding my employment. The only valid changes to this agreement are

those specifically authorized by management reduced to writing and signed by an

authorized company representative and me as attached..

______ I have been given a copy of this agreement and have read it. I understand it and agree

Initial to its terms. I have had sufficient time to consider and sign such at will employment

agreement before I have signed below and to have it reviewed by my legal or other

advisors.
